1. Acceptance of Terms & Eligibility

1.1 Binding Agreement

These Beta Terms of Service (“Terms”) govern your access to and use of the website located at art50compliance.eu and “Art50 version 1.0” of our manual attestation tool, digital audit receipt generator, and related software utility (collectively, the “Services”).

By creating an account, clicking “I Agree,” joining our waitlist, or accessing the Services, you enter into a legally binding contract with Human Oversight Laboratories (operated jointly by the co-founders prior to incorporation, and automatically assigned to Human Oversight Laboratories OÜ upon registration in Estonia). If you do not agree to these Terms, you must not access or use the Services.

1.2 Eligibility Requirements

By using the Services, you represent and warrant that:

  • You are at least 18 years of age (or the age of legal majority in your jurisdiction);
  • You possess the legal authority to enter into a binding agreement; and
  • You are not prohibited from accessing or using the Services under applicable laws of the European Union, the United States, or other relevant jurisdictions.

1.3 Corporate / Organizational Representation

If you accept these Terms on behalf of a company, agency, or other legal entity, you explicitly warrant that you have full legal authority to bind that entity to these Terms. In such cases, “you” and “your” shall refer jointly to you as an individual and to the entity you represent.

2. Beta Status & Experimental Nature of Service

2.1 Pre-Release Beta Software

You explicitly acknowledge and agree that version 1.0 of the Services is an early-stage Minimum Viable Product (MVP) released under a pre-incorporation “Beta” evaluation license.

Important Notice: The platform is currently provided for testing, feedback, and evaluation purposes only. It has not reached full commercial maturity and may contain software bugs, display errors, or experience unannounced service disruptions.

2.2 Unannounced Modifications & Discontinuation

Because the platform is undergoing active development:

  • We reserve the right to modify, alter, update, rate-limit, or discontinue any feature, functionality, or database schema at any time without prior notice.
  • We are under no obligation to provide ongoing technical maintenance, bug fixes, or dedicated customer support for the public beta.
  • Features available in version 1.0 may be modified or removed entirely in future commercial versions.

2.3 Feedback Rights

We welcome your input regarding the Services. If you provide us with any feedback, suggestions, bug reports, or feature requests (“Feedback”), you grant Human Oversight Laboratories a perpetual, irrevocable, worldwide, royalty-free, and fully sublicensable right to use, implement, commercialize, and incorporate such Feedback into our current or future products without compensation or obligation to you.

2.4 Third-Party Platform Dependencies

The Services may operate via or integrate with third-party web browsers, content management systems (CMS), or cloud storage providers. We do not warrant uninterrupted compatibility with third-party software. Modifications made by third parties to their APIs, browser security policies, or platform architectures may temporarily or permanently disrupt version 1.0 functionality without liability to us.

3. User Accounts, Credentials & Security

3.1 Account Registration

To access the v1.0 manual attestation utility and generate audit receipts, you must register a user account. You agree to provide accurate, current, and complete information during the registration process (such as a valid email address) and to update such information to keep it accurate.

3.2 Credential Confidentiality & Account Responsibility

  • You are solely responsible for safeguarding your login credentials (email address, password, and session access tokens).
  • You must not share, transfer, or assign your account credentials to any third party.
  • You assume full responsibility for all activities, actions, and form submissions performed under your user account, whether or not explicitly authorized by you.

3.3 Security Breaches & Mandatory Notification

If you suspect or become aware of any unauthorized access to your account, credential theft, or security breach involving the platform, you must notify us immediately at contact@art50compliance.eu. We are not liable for any losses, damages, or compromised audit records resulting from unauthorized account access due to failure to maintain credential confidentiality.

3.4 Account Suspension Rights

We reserve the right, at our sole discretion, to temporarily suspend or permanently terminate any user account if we reasonably suspect a violation of these Terms, unauthorized access, or activity that threatens system stability or security.

4. Acceptable Use & Prohibited Activities

4.1 Permitted Use

Subject to strict compliance with these Terms, Human Oversight Laboratories grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use version 1.0 of the Services strictly for internal evaluation, pilot testing, and manual generation of AI oversight attestation receipts.

4.2 Prohibited Conduct & Platform Misuse

You explicitly agree that you will not, directly or indirectly, engage in any of the following prohibited activities:

  • Falsification & Fraudulent Attestation: Submit deliberately false, misleading, or fraudulent attestation data, false user IDs, or fabricated review durations with the intent to generate deceptive compliance receipts or mislead third parties regarding human oversight.
  • Automated Abuse & Bot Submissions: Use automated scripts, bots, spiders, or headless browsers to submit attestation forms, bypass rate limits, or overwhelm database endpoints.
  • Reverse Engineering & System Exploitation: Decompile, disassemble, reverse engineer, or attempt to extract the source code, database structures, or underlying algorithms of the platform or cryptographic hashing utilities.
  • Security & Network Violations: Probe, scan, or test the vulnerability of our servers, infrastructure, or network, or attempt to breach security or authentication mechanisms.
  • Malicious Software & Spam: Upload, introduce, or transmit viruses, worms, Trojan horses, or other malicious code designed to interrupt, destroy, or limit platform functionality.
  • Unauthorized Commercial Exploitation: Sell, rent, lease, sublicense, redistribute, or white-label the v1.0 software utility, API endpoints, or generated receipt formats to third parties without our prior written authorization.

5. Intellectual Property & License to User Data

5.1 Platform Intellectual Property

All rights, titles, and interests in and to the Services—including software code, database architecture, user interface design, branding, logos, domain names, cryptographic receipt formats, and backend utilities—are and shall remain the exclusive property of Human Oversight Laboratories (and its successor entity, Human Oversight Laboratories OÜ).

Except for the limited license explicitly granted in Section 4.1, nothing in these Terms grants you any right, title, or interest in or to our intellectual property.

5.2 Ownership of User-Submitted Content

You retain full ownership of all data, text, document titles, reviewer identities, and custom notes that you submit through our manual attestation forms (“User-Submitted Data”). Human Oversight Laboratories claims no ownership rights over your proprietary documents or internal attestation records.

5.3 Operational License to Process Data

By submitting data through the Services, you grant Human Oversight Laboratories a worldwide, non-exclusive, royalty-free, transferable license to store, host, process, reproduce, and cryptographically hash your User-Submitted Data solely to:

  • Generate, render, and display your digital attestation receipts;
  • Maintain secure, tamper-evident audit logs; and
  • Deliver and improve platform functionality in accordance with our Privacy Policy.

5.4 Data Protection & GDPR Role Allocation

To the extent that User-Submitted Data includes personal data of human reviewers or internal staff (such as names, user IDs, or email addresses):

  • You act as the Data Controller responsible for establishing a lawful basis (e.g., legitimate interest) for processing reviewer personal data.
  • Human Oversight Laboratories acts as a Data Processor solely processing such data to generate attestation receipts and audit logs.
  • Processing shall be governed by our Privacy Policy and, where applicable, our standard Data Processing Agreement, incorporated herein by reference.

5.5 User Input Warranty

You represent and warrant that you possess all necessary rights, licenses, and permissions to submit text, document titles, and metadata into the Services, and that doing so does not violate any third-party intellectual property rights, non-disclosure agreements (NDAs), or privacy laws.

6. Attestation Receipts & AI Legal Compliance Disclaimer

PLEASE READ THIS SECTION CAREFULLY. It defines the scope of our software utility and limits our legal liability regarding your regulatory obligations.

6.1 Nature of Generated Receipts (User-Declared Data)

Our v1.0 software tool functions strictly as a declaration and cryptographic record-keeping utility. The digital audit receipts generated by the platform are compiled solely from user-declared, self-reported inputs (e.g., your checked boxes, reported review durations, and submitted reviewer IDs).

You explicitly understand and agree that:

  • The platform does not independently audit, test, or verify whether a human reviewer actually read, edited, or fact-checked the subject document.
  • The platform does not perform automated document comparison, automated accuracy checks, or background screen tracking.
  • A generated receipt serves as a tamper-evident record of what the user declared, not an independent guarantee of what actually occurred.

6.2 No Guarantee of Statutory or Regulatory Compliance

While our receipts are designed to help organizations document human review practices (such as under Article 50 of the EU AI Act or enterprise risk frameworks):

  • The issuance of a receipt does not guarantee compliance with the EU AI Act, national copyright directives, defamation laws, or professional conduct standards.
  • The receipt does not grant immunity from civil liability, third-party lawsuits, or regulatory penalties arising from AI-generated content, hallucinations, or errors.
  • Human Oversight Laboratories is not a law firm, regulatory body, or compliance auditor, and does not provide legal advice or statutory certifications.

6.3 Sole Responsibility for Human Oversight Quality

You or your organization retain sole legal responsibility for:

  • Defining, executing, and enforcing proper human oversight and quality-control standards within your workflows;
  • Ensuring that reviewers possess the necessary competence and time to evaluate AI outputs; and
  • Verifying the factual accuracy, legal lawfulness, and safety of any content published or distributed by your team.

6.4 Public Receipt Hosting & Endpoint Sunsetting

While cryptographic hashes generated during the Beta are deterministic and permanent records, we do not guarantee perpetual, lifelong hosting of public verification web URLs generated during version 1.0. We reserve the right to archive, migrate, or require a paid subscription to maintain active web lookup endpoints following the conclusion of the public beta period.

7. Express Disclaimer of Warranties (“AS IS” & “AS AVAILABLE”)

IMPORTANT LEGAL NOTICE: This section excludes warranties to the maximum extent permitted under applicable law, including EU consumer and contract directives.

7.1 “As Is” and “As Available” Provision

To the maximum extent permitted by applicable law, the Services, software utilities, database infrastructure, and generated attestation receipts are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranties of any kind.

7.2 Explicit Disclaimer of Warranties

Human Oversight Laboratories explicitly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability & Fitness: Any implied warranties of merchantability, satisfactory quality, or fitness for a particular compliance or business purpose.
  • Accuracy & Completeness: Any representation that generated receipts, timestamps, or system outputs will be error-free, uninterrupted, complete, or accepted as conclusive evidence by third-party auditors, judicial bodies, or regulatory enforcement agencies.
  • Technical Performance: Any warranty that the software will meet your operational requirements, achieve any intended results, operate without interruption, meet any performance or reliability standards, or be entirely free from software bugs, security vulnerabilities, or data loss.

8. Limitation of Liability & User Indemnification

8.1 Exclusion of Indirect & Consequential Damages

To the fullest extent permitted by applicable law, in no event shall Human Oversight Laboratories, its co-founders, operators, employees, contractors, or future corporate parent (Human Oversight Laboratories OÜ) be liable to you or any third party for any:

  • Indirect, incidental, consequential, special, or punitive damages;
  • Loss of profits, loss of revenue, loss of business opportunity, or loss of goodwill;
  • Loss, corruption, or compromise of data, audit logs, or attestation records; or
  • Statutory fines, regulatory sanctions, or legal liabilities arising from your reliance on AI-generated content or improper human review practices.

This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

8.2 Cap on Monetary Liability

Our total aggregate liability for any and all claims arising out of or relating to these Terms or your use of the Services shall be strictly limited to the greater of:

  • €100 (One Hundred Euros); or
  • The total amount actually paid by you to Human Oversight Laboratories for access to the Services during the three (3) months immediately preceding the event giving rise to the claim.

(Note: For free public beta accounts, our maximum aggregate liability shall not exceed €100).

8.3 Non-Excludable Statutory Rights

Nothing in these Terms excludes or limits our liability for death or personal injury caused by gross negligence, intentional misconduct, fraud, or any other liability that cannot be lawfully excluded or limited under applicable EU or Member State law.

8.4 User Indemnification

You agree to defend, indemnify, and hold harmless Human Oversight Laboratories, its operators, co-founders, and affiliates from and against any third-party claims, demands, damages, losses, liabilities, costs, and legal fees arising out of or related to:

  • Your access to or use of the Services;
  • Your submission of false, deceptive, or inaccurate attestation form data;
  • Your publication, distribution, or commercial deployment of AI-generated content that causes harm, defamation, or regulatory non-compliance; or
  • Your violation of these Terms or applicable laws (including the EU AI Act or copyright directives).

9. Service Modifications, Downtime & Data Loss

9.1 Service Availability & Maintenance Outages

Because the platform is operating as an experimental beta version, we do not guarantee continuous, uninterrupted, or error-free availability of the Services.

  • We reserve the right to modify, suspend, restrict, or shut down access to the platform (or specific features) at any time for routine maintenance, infrastructure upgrades, database schema updates, or emergency bug fixes.
  • We are not liable to you or any third party for any operational disruptions, delayed attestation receipts, or service downtime resulting from routine or unexpected maintenance.

9.2 User Responsibility for Local Receipt Archiving & Data Loss

Our v1.0 MVP infrastructure is designed to demonstrate proof-of-concept and generate digital attestation receipts. However, active beta development may occasionally necessitate database resets, index rebuilds, or server migrations.

Important Data Archiving Notice: You are solely responsible for downloading, saving, and locally archiving copies of all generated attestation receipts, cryptographic hashes, and verification logs required for your compliance records.

Human Oversight Laboratories explicitly disclaims liability for any loss, corruption, deletion, or unrecoverability of user-submitted attestation records or receipt logs stored on our servers during the beta period.

9.3 Force Majeure

Neither party shall be liable for failure or delay in performing its contractual obligations under these Terms if such failure or delay is caused by events beyond reasonable control (“Force Majeure”), including but not limited to: natural disasters, acts of government or regulatory intervention, war, terrorism, network or power grid failures, distributed denial-of-service (DDoS) attacks, or major cloud infrastructure provider outages.

10. Termination, Governing Law & Dispute Resolution

10.1 Account Termination by You

You may stop using the Services and terminate your account at any time by submitting an account closure request to contact@art50compliance.eu or using the account deletion settings within your profile (where available). Termination of your account does not relieve you of any obligations or liabilities incurred prior to termination.

10.2 Account Termination & Suspension by Us

We reserve the right to suspend or permanently deactivate your user account, revoke access to generated receipt archives, or block your IP address immediately and without prior notice if:

  • You breach or violate any provision of these Terms or acceptable use policies;
  • We reasonably suspect fraudulent, abusive, or automated submission of attestation data;
  • We discontinue the public beta service; or
  • We are required to do so by applicable law or regulatory mandate.

10.3 Pre- and Post-Incorporation Corporate Assignment

You acknowledge and agree that these Terms are initially executed by the co-founders operating under the trade name Human Oversight Laboratories. Upon formal corporate incorporation in Estonia, all contractual rights, liabilities, obligations, and user accounts under these Terms will automatically assign and transfer to Human Oversight Laboratories OÜ (Tallinn, Estonia) without requiring additional consent or re-execution from you.

10.4 Governing Law & Forum / Jurisdiction

  • B2B & General Users: These Terms, their subject matter, and any non-contractual obligations or legal disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Estonia, without giving effect to any principles of conflicts of law. Any legal dispute or claim shall be subject to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia.
  • EU Consumers: If you access the Services as an individual EU consumer, nothing in these Terms deprives you of the protections afforded to you by mandatory consumer protection provisions under the laws of your EU Member State of habitual residence.

10.5 Severability & Entire Agreement

  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
  • Entire Agreement: These Terms (together with our [Privacy Policy] and [Legal Notice]) constitute the entire legal agreement between you and Human Oversight Laboratories regarding your access to and use of the public beta Services, superseding all prior oral or written communications.

10.6 Commercial Migration & Beta Sunset

Upon commercial release of subsequent non-beta versions, we may require you to accept updated Commercial Terms of Service or select a subscription plan to retain active account access. Accounts inactive for more than ninety (90) days following the conclusion of the Beta may be archived or deleted in accordance with our data retention policies.
